This Agreement sets forth the legally binding terms for your association with Matthew’s Crossing Food Bank including use of Matthew’s Crossing Food Bank website(s) products and/or services (collectively, “we”, “ours”, “the services”).  This is a legally binding agreement between you and Matthew’s Crossing Food Bank. By signing, clicking the “accept” button, or by using Matthew’s Crossing Food Bank website(s) and or services, you agree to be bound by this agreement. Please read this agreement carefully and retain it for future reference. If you do not agree with our Terms of Use or Conditions of Sale, you should leave the Matthew’s Crossing Food Bank website and discontinue use of the services immediately.

Privacy

Matthew’s Crossing Food Bank’s full Privacy Policy may be accessed at https://matthewscrossing.org/privacy-policy/. When coming to Matthew’s Crossing for services, including food distribution services, you will be asked to provide proof of identification, which may include presenting a driver’s license, or other photo ID. You will also be asked to provide your home address, phone, email, and information regarding the people with whom you live. This may include personally identifiable information. Your information may be submitted on paper or through electronic means into our secure database. All forms that you submit become property of Matthew’s Crossing and will be used solely for the purpose of qualifying clients for services and in data management applications, as required by federal and state food programs.

When attending a live community event, in which Matthew’s Crossing Food Bank participates, you agree that Matthew’s Crossing Food Bank may receive your personal identifying information from the event facility, excluding all information pertaining to your credit card or method of payment. The purpose of this is to allow Matthew’s Crossing Food Bank to use that information internally and to share information regarding products and services with event attendees, in accordance with the posted Privacy Policy.

USDA Non-discrimination Statement

In accordance with federal civil rights law and U.S. Department of Agriculture (USDA) civil rights regulations and policies, this institution is prohibited from discriminating on the basis of race, color, national origin, sex (including gender identity and sexual orientation), disability, age, or reprisal or retaliation for prior civil rights activity.

Program information may be made available in languages other than English. To file a program discrimination complaint, a Complainant should complete a Form AD-3027, USDA Program Discrimination Complaint Form which can be obtained online at: https://www.usda.gov/sites/default/files/documents/USDA-OASCR%20P-Complaint-Form-0508-0002-508-11-28-17Fax2Mail.pdf, from any USDA office, by calling (866) 632-9992, or by writing a letter addressed to USDA.

The letter must contain the complainant’s name, address, telephone number, and a written description of the alleged discriminatory action in sufficient detail to inform the Assistant Secretary for Civil Rights (ASCR) about the nature and date of an alleged civil rights violation. The completed AD-3027 form or letter must be submitted to USDA by:

Food Distribution Services

Anyone in need of food assistance can present a photo ID and register with Matthew’s Crossing to receive (1) Emergency Food Box every 14 days. Emergency Food Boxes are comprised of nutritionally balanced non-perishable foods, designed to feed a family of (4) for up to three days. When available perishable items will be included and may include bread, milk, meat, fresh produce, and bakery items. Items in the Emergency Food Boxes may include pasta, rice, beans, canned fruits and vegetables, soup, cereal, dry milk, and canned meats. Clients who are currently registered with Matthew’s Crossing, also qualify for a free Holiday Food Box at Thanksgiving, Christmas, and Easter.

Additionally, Matthew’s Crossing Food Bank has programs for food distribution through local schools and community organizations. Each of our food distribution programs is run in accordance with federal and state laws and we strictly adhere to our privacy and nondiscrimination policies.

While food distribution is made according to our posted schedule, there is no guarantee that any amount of food will be available for distribution, at any of our scheduled times. There is no advantage or preferential treatment extended to any one client and all food is distributed as fairly as possible, with the understanding that there may be occasional and unavoidable shortfalls of food.

Matthew’s Crossing Food Bank recognizes that many of our clients may have dietary restrictions, food allergies and other special needs where food is concerned. Due to the bulk of food we process, Matthew’s Crossing Food Bank cannot provide food that caters to clients with unique dietary needs, nor can we guarantee that your food order has not come into contact with food allergens. If you have any questions or concerns about the quality of your food distribution order, please contact our on-site Operations Manager immediately.

Food Collection Practices

Matthew’s Crossing Food Bank participates in the Emergency Food Assistance Program (TEFAP) is a federal program that helps supplement the diets of low-income Americans by providing them with emergency food assistance at no cost. USDA provides 100% American-grown USDA Foods and administrative funds to states to operate TEFAP. You can learn about this program on their website: https://www.fns.usda.gov/tefap/tefap-fact-sheet

Matthew’s Crossing Food Bank also relies upon the generosity and kindness of members of our community and their food donations. We accept shelf-stable dry and canned food donations that have not reached their “sell by” date, commonly called an expiration date.

We are unable to accept items that have expired, or gone past the “sell by” date, are perishable, items that need refrigeration, items that have a limited shelf life if not refrigerated, homemade food items, non-commercial baked goods, leftovers, and food that is not professionally packaged for distribution.

Online and In Person Services

Use of Matthew’s Crossing Food Bank online services are provided “as is”, and without warranties. While Matthew’s Crossing Food Bank attempts to be as accurate as possible, our information should not be relied upon as being comprehensive or error-free. Matthew’s Crossing Food Bank services are designed to enhance your personal life. All information provided is intended for educational and research purposes only. Matthew’s Crossing Food Bank does not guarantee any specific results from use of the services and makes no representations or warranties as to specific outcomes or results. Matthew’s Crossing Food Bank cannot guarantee happiness, health, wealth, or success. Your future health, success, and happiness are solely dependent upon you. When you use Matthew’s Crossing Food Bank services, you are taking full responsibility for your actions. Examples of client success in using Matthew’s Crossing Food Bank services are not to be interpreted as a promise or guarantee in any way. Any potential benefit from association with Matthew’s Crossing Food Bank, including health or other perceived benefit is entirely dependent on the efforts and skills of the person applying the information and resources provided within Matthew’s Crossing Food Bank recommendations, services, programs, and materials.

Products and services purchased, or received through donation, including Matthew’s Crossing Food Bank client enrollment may include varied components, including food distribution, live events, workshops, videos, printed materials and/or other products and services. Products and services may be delivered through any means currently available, including but not limited to various in person, physical and online, electronic delivery methods. All services are for individual and intended use in or in conjunction with Matthew’s Crossing Food Bank programs only. Program content and personalized recommendations are for individual use only, and may not be sold, transmitted, stored in an automatic retrieval system, audio recorded, video recorded, shared, taught, given away, or otherwise divulged without the express written consent of Matthew’s Crossing Food Bank, or our designated agent. You agree not to divulge information gained through association with Matthew’s Crossing Food Bank relationship partners, and assign, through participation in any programs or services.

Matthew’s Crossing Food Bank Community Members, including clients, volunteers, and donors, may be issued a unique username and password to an online portal, and should only be used by one individual. You agree not to share any personally identifiable information, login information, call-in numbers, passwords, and protected links or program resources with non-members.

Cooperation

We are committed to providing all clients and participants in Matthew’s Crossing Food Bank programs and services with a positive experience. Therefore, Matthew’s Crossing Food Bank may, at our sole discretion, limit, suspend, or terminate your participation in any of our services, or programs, without advance notice, if You, or your invited guests, become disruptive or difficult to work with, fail to follow the program guidelines, fail to honestly report necessary household information, or impede the full enjoyment or participation of Matthew’s Crossing Food Bank staff, volunteers, donors, or other program participants.

Terms

This Agreement will stay in force and effect until the end of the term of your association with Matthew’s Crossing and will remain in effect for up to one calendar year from the last date of service or association. Matthew’s Crossing Food Bank may terminate any Agreement prior to the end of the term and discontinue your access to services based upon your failure to act according to the terms of this agreement.

Medical Disclaimer

Matthew’s Crossing Food Bank, our employees, volunteers, donors and agents are not responsible for any physical or non-physical damages, including mental and emotional damages, either real, perceived, imagined, or otherwise sustained as a result of the use of the recommendations, programs and services, including Food Distribution Services, provided through Matthew’s Crossing Food Bank Website(s) or through participation in professional services, community food distribution, live or group events. Participants must rely solely upon their own judgment to determine whether they are able to safely participate in any Matthew’s Crossing Food Bank recommendations, events, and programs. Participation and/or use of any services is at your own risk.

Consumption of any food distributed by Matthew’s Crossing Food Bank is also at your own risk. While Matthew’s Crossing Food Bank does our best to ensure that food is distributed in a safe and secure manner, with strict attention to federal, state, and local distribution guidelines, food safety, quality, and usability, we cannot accommodate medical needs, allergies, or other concerns regarding the fitness of any food for distribution. If you have an adverse reaction after consuming food received through Matthew’s Crossing Food Bank, contact your medical professional immediately and then contact our Operations Manager.

It is the responsibility of the individual to notify Matthew’s Crossing Food Bank of any limitations on the individual’s ability to participate in any Matthew’s Crossing Food Bank activities including any condition (e.g., mental, physical, emotional), which might affect their health or well-being, the well-being of others, or affect their ability to engage in Matthew’s Crossing Food Bank activities.

Matthew’s Crossing Food Bank will engage the individual, through dialogue about potential modifications that may allow active participation in programs and services including a dialogue potentially with the applicant’s physician, or others familiar with the applicant’s disability and modifications utilized in the past.

If an individual, who wishes to participate in Matthew’s Crossing Food Bank’s programs or services, has a medical condition or disability, we must determine whether they can participate in the program, with or without modifications to the program. In considering modifications, that will allow access to programs and services, we must consider the needs of all participants.

We will use outside resources (e.g., a consulting physician, interest groups, adaptive equipment manufacturers/sellers, associations for specific disabilities, the individual’s physician) in making decisions about potential modifications/safety issues.

It is the policy of Matthew’s Crossing Food Bank to screen all program and services participants to understand and effectively deal with any medical or health concerns before participation and to refer out applicants who, for medical reasons or otherwise, cannot or should not attend any specific programs.

Access to programs and services (including proposed modifications) is not required, however, if it would 1) result in an undue burden (e.g., “significant” cost, training, etc.) on the entity; 2) fundamentally alter the nature of the workshop program or activity (for the individual and others); or 3) compromise the safety of others attending the workshop, session, or program.

Relationship

Nothing contained in this Agreement shall be construed to (i) give either party the power to direct and control the day-to-day activities of the other; (ii) deem the parties to be acting as partners, joint ventures, co-owners or otherwise as participants in a joint undertaking; or (iii) allow either party to create or assume any obligation on behalf of the other party for any purpose whatsoever.

Modification

Matthew’s Crossing Food Bank may modify this Agreement from time to time and such modification shall be effective upon posting upon Matthew’s Crossing Food Bank Website. You agree to be bound to any changes to this Agreement when you use the services after any such modification is posted. It is important that you review this Agreement regularly to ensure you are updated as to any changes.

Assignment

You may not, without the prior written consent of Matthew’s Crossing Food Bank, assign this Agreement, in whole or in part, either voluntarily or by operation of law, and any attempt to do so shall be a material default of this Agreement and shall be void. Matthew’s Crossing Food Bank’s rights and obligations, in whole or in part, under this Agreement may be assigned or transferred by Matthew’s Crossing Food Bank to a partner, or other community resource that takes over in the stead of Matthew’s Crossing should the need arise.

Third Party Beneficiaries

This Agreement is solely for the benefit of the parties and their successors and permitted assigns and does not confer any rights or remedies on any other person or entity.

Governing Law

This Agreement shall be interpreted according to the laws of the State of Arizona without regard to or application of choice-of-law rules or principles.

Waiver

No failure of either party to exercise or enforce any of our rights under this Agreement shall act as a waiver of subsequent breaches; and the waiver of any breach shall not act as a waiver of subsequent breaches.

Severability

In the event any provision of this Agreement is held by a court of other tribunal of competent jurisdiction to be unenforceable, that provision will be enforced to the maximum extent permissible under applicable law, and the other provisions of this Agreement will remain in full force and effect. The parties further agree that in the event such provision is an essential part of this Agreement, they begin negotiations for a suitable replacement provision.

Force Majeure

If either party is prevented from performing any of our obligations under this Agreement due to any cause beyond the party’s reasonable control, including, without limitation, an act of God, fire, flood, natural disaster, explosion, war, strike, embargo, government regulation, civil or military authority, acts or omissions of carriers, transmitters, providers, vandals, or hackers (a “force majeure event”) the time for that party’s performance will be extended for the period of the delay or inability to perform due to such occurrence.  If a party suffering a force majeure event is unable to cure that event within thirty (30) days, the other party may terminate this Agreement.

Construction

This Agreement shall be construed and interpreted fairly, in accordance with the plain meaning of our terms, and there shall be no presumption or inference against the party drafting this Agreement in construing or interpreting the provisions hereof.

Remedies

Except as provided herein, the rights and remedies of Matthew’s Crossing Food Bank are set forth in this Agreement are not exclusive and are in addition to any other rights and remedies available to it at law or in equity.

Binding Effect

This Agreement shall be binding upon and shall inure to the benefit of the respective parties hereto, their respective successors-in-interest, legal representatives, heirs, and assigns.

Damage Waiver

In no event shall either party be liable to the other party hereunder for any lost profour or other consequential, incidental, indirect, special, or similar damages, even if such a party has been advised of the possibility of such damages. In no event shall either party be liable to the other for exemplary or punitive damages. Notwithstanding anything to the contrary contained herein, Matthew’s Crossing Food Bank’s liability to you for any cause whatsoever and regardless of the form of action, will at all times be limited to the total amount paid, if any, by you to Matthew’s Crossing Food Bank for the services during the term of the agreement. If no amount was paid for services, liability will be limited to the fair market value of services received, should they have been purchased.

Use of Matthew’s Crossing Food Bank’s Name, Logo, Likeness, or Intellectual Property

You shall not, in the course of performance of this Agreement, or thereafter, use Matthew’s Crossing Food Bank or Matthew’s Crossing Food Bank’s name, logo, likeness or intellectual property in any way, including physical media, electronic media, advertising or promotional media without the express permission of Matthew’s Crossing Food Bank.

Intellectual Property

The materials provided as part of your services are copyrighted and may not be reproduced in any form, or by any means, physical electronic or otherwise, without the express written permission of Matthew’s Crossing Food Bank. You may not reproduce, republish, display, perform, distribute, modify, transmit, reuse, re-post or use the content of the materials for public or commercial purposes without the express written permission of Matthew’s Crossing Food Bank. The trademarks, logos and service marks (collectively the “Trademarks”) displayed on the materials are registered and unregistered Trademarks of Matthew’s Crossing Food Bank and other third parties that have authorized the use of such Trademarks on the Website and within Matthew’s Crossing Food Bank’s materials. Nothing contained in the materials or on Matthew’s Crossing Food Bank website should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on the website without the written permission of Matthew’s Crossing Food Bank or the appropriate third party. Your use of the Trademarks displayed on the materials, on the website, or in any other content, except as provided in these terms and conditions, is strictly prohibited.

Terms of Use Agreement

Disputes

If there is any dispute about or involving the services, you agree that the dispute shall be governed by the laws of the State of Arizona, United States of America, without regard to conflict of law provisions and you agree to exclusive personal jurisdiction and venue in the state and federal courts of the United States located in the State of Arizona. Either Matthew’s Crossing Food Bank or you may demand that any dispute between you and Matthew’s Crossing Food Bank about or involving the services must be settled by arbitration utilizing the dispute resolution procedures of the American Arbitration Association (AAA) in Arizona, United States. The foregoing shall not prevent Matthew’s Crossing Food Bank from seeking injunctive relief in a court of competent jurisdiction.

Indemnity

Your indemnity applies only to the following limited circumstances claims arising out of this Agreement, your use of the services, a breach of this Agreement, any breach of your representations and warranties set forth above, and/or if any content that you post using the services causes Matthew’s Crossing Food Bank to be liable to another. In these circumstances, you agree to indemnify and hold Matthew’s Crossing Food Bank, our subsidiaries and affiliates, and their officers, agents, attorneys, and employees, harmless from any loss, liability, claim, or demand, including reasonable attorney’s fees, made by you or any third party.

Void-ability

The services are provided individually, as part of a community program, as part of an information package or paid event. Failure to use or download any portion of the products or services as available and intended, including not logging into an account, will not void any part of this agreement nor entitle you to a refund in whole or in part.

Entire Agreement

This Agreement represents the entire understanding relating to the services and prevails over any prior or contemporaneous, conflicting, or additional communications. In order to participate in certain services, you may be notified that you may be required to agree to additional terms and conditions. Matthew’s Crossing Food Bank Payment Terms
Payments and Donations

Matthew’s Crossing food is distributed free, without cost, to members of the community who are registered clients of Matthew’s Crossing Food Bank services. There is never a charge for any food distribution programs or services. If someone tries to sell food items, in relation to Matthew’s Crossing Food Programs, please contact our Operations Manager Immediately at: 480 857 2296

We may, at times, conduct fundraising and other programs that do require payment for participation. Payments for products or services in these programs, are expected in full, at the time of service unless specifically stated in the actual service agreement or product order form. Fees for paid programs or services may be pre-paid or by installment, if indicated on your service agreement or order form. If payment arrangements are made, they are done so in consideration of the customer. In any case, you agree to pay the full amount agreed upon, at the time of purchase, and not to cancel this transaction with your bank or credit card company without due cause. Actual payment terms may vary depending upon the individual product, service.

Patrons of Matthew’s Crossing Food Bank may choose to donate funds either electronically, by cash, check or in person. All funds received will be in valued in US dollars, whether through monetary or in-kind donations. Patrons and donors may choose to have their donations made automatically through electronic bank draft withdrawal, credit card or various online banking applications. Such monetary donations are strictly voluntary in nature and the patrons / donors may terminate their donations at any time. Patrons and donors may designate their gift to a specific program, and while Matthew’s Crossing Food Bank will make every attempt to honor that request, once a donation is received it is the property of Matthew’s Crossing Food Bank and will be used for program applications, as needed.

Matthew’s Crossing Food Bank is not responsible for any overdraft charges, over limit fees, or non-sufficient fund fees by your bank or credit card company as a result of any services purchased or donations made through Matthew’s Crossing Food Bank.

Terms

This Agreement will stay in force and effect until the end of the term indicated on your order form or agreement. Failure to pay required fees, for paid programs, services and events may result in Matthew’s Crossing Food Bank terminating the Agreement prior to the end of the term and discontinuing your access to services. Your use of Matthew’s Crossing Food Bank website(s) or services after your termination may extend the term of this Agreement and may cause you to incur additional fees.

Refund Policy

All monetary and in-kind donations are received in good faith and Matthew’s Crossing Food Bank makes no refund for donations received either in person or through electronic means.

Matthew’s Crossing Food Bank Food Distribution is non-returnable. If there is a problem with your food order, please immediately contact our Operations Manager at: 480 857 2296, who can arrange for a replacement order.

Refund Policy for Purchased Downloadable/Internet-Based Products and services.

Due to the method of distribution, and the inherent inability to ensure that a downloaded product or service can be fully returned, no refunds will be issued for any downloadable or internet-based products and services unless specifically noted in writing at the time of sale or on the order form.

Refund Policy for Physical Product Purchase.

There are no refunds on physical products. Physical products, that were received damaged will be replaced within 10 days after the original date of purchase. In order to be eligible, a replacement request must be submitted in writing (via postal mail, email, or fax) within the 10-day replacement period. Damaged product must be returned in its entirety, to Matthew’s Crossing Food Bank. Product replacement requests will be processed within two (2) weeks of the date on which the returned product is received by Matthew’s Crossing Food Bank.

Refund Policy for Live Events

If Matthew’s Crossing Food Bank cancels a live on-location event, Matthew’s Crossing Food Bank will give participants the option of having their money refunded, within 30 days of the event cancellation, or applying their payment to future events, per the agreements in place with the event venue. Ticketed events that are paid through a third-party, will be refunded directly through the third-party and according to their terms of services. If a live event is paid for directly through Matthew’s Crossing Food Bank, our refund is limited to the cost of the event actually paid and does not include incidental or related expenses incurred by the event participant. If an event is cancelled because of circumstances outside Matthew’s Crossing Food Bank’s control (force majeure such as natural disaster, facility shutdown, etc.), Matthew’s Crossing Food Bank will not offer cash refunds, but will apply participants’ payments to future live events. If a participant must cancel their participation in any event they have paid for, there is no guarantee of a refund. Depending upon the individual circumstances, Matthew’s Crossing Food Bank may allow the participant to apply their payment to future events but will not refund the money in cash. It is the policy of Matthew’s Crossing Food Bank to only issue refunds prior to the completion of one-fourth of the content of a live event. Questions or concerns that may arise during a live event should immediately be directed to the event staff for resolution.
